These Terms and Conditions (“Terms”) apply to your use of ledion.ca and to products and services provided by Ledion (“Ledion,” “we,” “our,” or “us”).
Our services may include graphic design, custom signage, illuminated signs, vehicle wraps and graphics, vinyl graphics, window films, wall graphics, wayfinding, trade show displays, fabrication, installation, permitting assistance, maintenance, removal, and related visual branding services (collectively, the “Services”).
By using our website, approving a quote, paying a deposit, approving artwork, or otherwise engaging Ledion to provide Services, you agree to these Terms.
If a written quote, proposal, work order, or other agreement contains terms that conflict with these Terms, the terms in the applicable quote, proposal, work order, or agreement will govern for that project.
Quotes are based on the information available to Ledion at the time the quote is prepared.
Unless stated otherwise, a quote includes only the products, materials, design work, fabrication, installation, and other Services specifically described in the quote.
Additional work may result in additional charges, including changes to:
Quotes are valid for the period stated on the quote. If no period is stated, Ledion may revise pricing before the project is approved.
Ledion may require a deposit before design, material ordering, fabrication, scheduling, or other work begins.
The deposit amount and payment schedule will be stated in the applicable quote or invoice.
Unless otherwise agreed in writing, final payment is due according to the payment terms shown on the invoice.
Ledion may pause design, production, delivery, or installation when an account is overdue.
Any additional work approved during the project may be invoiced separately.
You are responsible for applicable taxes and other charges associated with the Services.
You are responsible for providing Ledion with accurate information reasonably required to complete the project.
This may include:
You are responsible for reviewing all information supplied to Ledion for accuracy.
Ledion is not responsible for errors resulting from inaccurate or incomplete information supplied by you.
Ledion may provide proofs, drawings, renderings, mockups, or other designs for approval before production.
You are responsible for carefully reviewing all artwork before approval, including:
Once artwork is approved, Ledion may begin production.
Changes requested after approval may result in additional design, material, fabrication, or labour charges.
Ledion is not responsible for errors that were visible in artwork approved by the customer.
Digital screens, printed proofs, photographs, renderings, and physical materials may display colours differently.
Exact colour matching cannot always be guaranteed.
Materials may also vary slightly between production batches.
Unless a specific colour-matching process has been agreed upon in writing, reasonable variations in colour, texture, finish, or appearance will not constitute a defect.
You represent that you have the right to use all logos, trademarks, photographs, artwork, fonts, designs, and other content you provide to Ledion.
Ledion may require artwork to be reformatted, recreated, traced, redrawn, or otherwise prepared for production.
Additional artwork preparation may result in additional charges.
Ledion is not responsible for reduced quality caused by low-resolution, incomplete, corrupted, or otherwise unsuitable customer-supplied files.
Unless otherwise agreed in writing, you retain ownership of intellectual property that you provide to Ledion.
Upon full payment for the applicable project, you may use the final approved design produced specifically for your project for its intended business purpose.
Ledion retains ownership of:
Nothing in these Terms transfers ownership of Ledion’s underlying processes, tools, or production methods.
Production and installation timelines are estimates unless Ledion expressly guarantees a completion date in writing.
Timelines may be affected by circumstances including:
Ledion is not responsible for losses resulting solely from reasonable delays outside its control.
Installation pricing is based on the conditions reasonably known when the quote is prepared.
Additional charges may apply if installation conditions differ materially from the information originally provided.
Examples include:
You are responsible for ensuring Ledion has safe and reasonable access to the installation location at the scheduled time.
Ledion may assist with permit applications, drawings, municipal requirements, or other approvals when included in the project scope.
Unless Ledion specifically agrees otherwise in writing, you remain responsible for ensuring that the proposed signage, graphics, installation, or other work is permitted by:
Permit fees, engineering fees, inspections, electrical work, or other third-party charges may be billed separately unless specifically included in the quote.
Ledion cannot guarantee that a government authority or other third party will approve a permit or application.
Before a vehicle wrap or graphic installation, the vehicle must be reasonably clean and free from excessive dirt, grease, wax, oil, snow, ice, or other contaminants.
Existing paint, bodywork, rust, corrosion, dents, scratches, chips, previous graphics, aftermarket paint, body filler, or other surface conditions may affect adhesion or removal.
Vinyl may expose or worsen existing paint defects when installed or removed.
Ledion is not responsible for damage to paint or surfaces that were already damaged, improperly repaired, repainted, deteriorated, oxidized, rusted, or otherwise unsuitable for vinyl application.
Customers should disclose known repainting, bodywork, ceramic coatings, paint-protection products, or other surface treatments before installation.
Removal of old vinyl, adhesive, signage, or graphics is not included unless specifically stated in the quote.
Removal may reveal fading, paint differences, adhesive residue, damage, corrosion, or other conditions that were previously hidden.
Ledion is not responsible for pre-existing conditions discovered during removal.
Additional labour required for difficult removal may result in additional charges.
Electrical connections, permits, inspections, and related work are included only when specifically stated in the project quote.
Some electrical work may need to be performed by a licensed electrical contractor.
The customer is responsible for ensuring suitable electrical service is available unless Ledion has specifically agreed to provide or coordinate it.
Ledion may rely on measurements, drawings, photographs, specifications, or other information provided by the customer or third parties.
If final measurements must be verified on site, production may not begin until those measurements are confirmed.
Changes caused by inaccurate customer-provided measurements may result in additional charges.
Custom signage, graphics, wraps, and fabricated products are made specifically for the customer.
Once design, material ordering, fabrication, printing, or production has begun, amounts already paid may become non-refundable.
If you cancel a project, you are responsible for work already completed and costs already incurred by Ledion, including:
Ledion may apply any deposit toward those amounts.
Any remaining balance will be invoiced where applicable.
Because most Ledion products are custom-made, completed custom products generally cannot be returned merely because the customer changes their mind.
If a product is defective or does not materially match the approved project specifications, contact Ledion promptly so the issue can be reviewed.
You should inspect completed work promptly after delivery or installation.
Any alleged defect, production error, or installation problem should be reported to Ledion as soon as reasonably possible.
Ledion must be given a reasonable opportunity to inspect and, where appropriate, correct the issue before another contractor alters, removes, repairs, or replaces the work.
Ledion stands behind its workmanship and materials subject to the limitations in these Terms and any project-specific warranty provided in writing.
Warranty coverage may vary depending on the product, material, manufacturer, installation environment, and intended use.
A warranty does not cover damage or deterioration resulting from circumstances outside Ledion’s reasonable control, including:
Manufacturer warranties may apply to certain materials or components and may be subject to the manufacturer’s own terms.
Outdoor signage, graphics, and wraps are exposed to weather, sunlight, temperature changes, road conditions, salt, moisture, and other environmental factors.
Normal fading, weathering, minor shrinkage, surface wear, or deterioration over time does not necessarily constitute a product defect.
Expected lifespan varies depending on material, placement, orientation, maintenance, and environmental conditions.
Ledion may use third-party suppliers, manufacturers, installers, electricians, engineers, equipment providers, software providers, or other contractors in connection with a project.
Third-party products may be subject to separate warranties or terms.
Ledion is not responsible for acts or omissions of independent third parties except to the extent required by applicable law or specifically agreed in writing.
Unless you request otherwise in writing before project completion, Ledion may photograph completed work and use those photographs to display its work, including on:

This section applies only to the extent permitted by applicable law.
Ledion will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control.
These may include severe weather, fire, flooding, accidents, labour disruptions, supplier failures, material shortages, utility failures, transportation interruptions, government actions, emergencies, or similar events.
Ledion will make reasonable efforts to resume performance when circumstances permit.
These Terms and any dispute arising from them will be governed by the laws of the Province of Manitoba and the applicable federal laws of Canada.
Unless applicable law requires otherwise, disputes that cannot be resolved between the parties will be brought before the courts of Manitoba.
If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
If Ledion does not immediately enforce a provision of these Terms, that does not mean Ledion has waived its right to enforce that provision later.
You may not transfer your rights or obligations under an approved project or these Terms without Ledion’s written consent.
Ledion may assign its rights and obligations in connection with a sale, restructuring, merger, or transfer of its business.
Ledion may update these Terms from time to time.
